Terms of Use

These Terms of Use (“Terms”) govern your use of Stoopwise, including stoopwise.com and related services (the “Service”). The Service is operated by Stoopwise LLC (“Stoopwise,” “we,” “us,” or “our”). By using the Service, you agree to these Terms.

1. What Stoopwise provides

Stoopwise organizes and presents neighborhood information, including information about events, businesses, openings, deals, news, and other local activity. Some information is created by Stoopwise and some is based on information from businesses, event organizers, public sources, publishers, or other third parties.

Stoopwise is an information and discovery service. Unless we expressly say otherwise, we are not the organizer, seller, venue, employer, landlord, booking agent, or merchant for third-party activities or offers shown on the Service.

2. Verify time-sensitive information

Local information changes quickly. We try to present useful, sourced information, but we do not guarantee that any listing, event time, opening date, business hours, price, deal, availability, address, description, or other information is complete, current, or error-free. Before traveling, purchasing, booking, or otherwise relying on time-sensitive information, verify it directly with the relevant source, business, venue, or organizer.

3. Third-party sources, links, and businesses

The Service may identify, summarize, link to, or display information concerning third parties. Third-party names, logos, trademarks, content, and websites belong to their respective owners. A listing or link does not by itself mean that Stoopwise endorses, sponsors, or is affiliated with the third party.

Your dealings with third parties are between you and the relevant third party. Stoopwise is not responsible for third-party products, services, websites, policies, transactions, cancellations, injuries, losses, or disputes.

4. Stoopwise intellectual property

The Service, including Stoopwise’s original software, interface, visual design, branding, original writing, original graphics, curation, selection, arrangement, and other original material, is owned by or licensed to Stoopwise and is protected by applicable law.

You may use the Service for personal, noncommercial purposes. You may share links to Stoopwise pages. You may not, without permission, reproduce or republish substantial portions of the Service, systematically extract or scrape the Service for resale or competing commercial use, circumvent technical restrictions, or use automated access in a manner that materially burdens or disrupts the Service.

Search engines and answer engines may crawl, index, and cite the Service where they identify Stoopwise as the source and link to the page they drew on. Citation with attribution is welcome; wholesale republication of the listings, or reuse that substitutes for the Service, is not.

Nothing in these Terms claims ownership of third-party facts, trademarks, or content that Stoopwise does not own.

5. Acceptable use

You may not use the Service to violate law; infringe another person’s rights; interfere with the Service or its security; introduce malicious code; impersonate another person or business; or attempt unauthorized access to systems or data.

6. Feedback and corrections

If you send us product feedback, suggestions, or correction information, you permit us to use it to improve and operate Stoopwise without compensation or restriction, except that we will continue to handle personal information as described in our Privacy Policy.

7. Service changes and availability

We may add, change, suspend, or discontinue features or content at any time. We do not promise that the Service will always be available or that any particular item will remain listed.

8. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Stoopwise disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability to the extent those warranties may lawfully be disclaimed.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, Stoopwise and its members, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or losses arising from reliance on third-party information or services.

To the fullest extent permitted by law, Stoopwise’s aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid directly to Stoopwise for the Service during the 12 months before the event giving rise to the claim or (b) $100.

Nothing in these Terms excludes liability that cannot legally be limited or excluded.

10. Indemnity

To the extent permitted by law, you agree to indemnify and hold Stoopwise harmless from third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Service or your violation of these Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes relating to these Terms or the Service shall be brought in the state courts located in Kings County, New York, or the federal courts serving Kings County, and you consent to those courts’ jurisdiction.

12. Changes to these Terms

We may update these Terms. We will post the revised version and update the effective date. Your continued use of the Service after an update means you accept the revised Terms to the extent permitted by law.
